1. Application
These Terms and Conditions apply to all purchases of services and goods advertised by Thrive & Shine Ltd. By ordering, you agree to these terms.
2. Interpretation
Key definitions used throughout these Terms & Conditions include "Consumer", "Contract", "Delivery Location", "Goods", "Order", and "Services".
3. Services
Descriptions of Services and Goods are available on our website and promotional materials. Any specifications provided by you must be accurate. We may adjust Services to comply with applicable laws or safety requirements.
4. Customer Responsibilities
You must cooperate with us and provide access, information, and consents required for Service performance. Failure to do so may lead to suspension or termination of the Contract.
5. Basis of Sale
Our promotional materials do not constitute a contractual offer. We may reject an Order for legitimate reasons. A Contract is formed when we confirm acceptance by email or begin delivery.
6. Fees & Payment
Fees and prices include VAT. Payment can be made in cash or by card, and we may take payment immediately or prior to delivery.
7. Delivery
Services or Goods will be delivered within the agreed timeframe or a reasonable period. You may be entitled to a refund or cancellation if we fail to deliver on time under certain circumstances.
8. Risk & Title
Risk passes upon delivery, but ownership remains with us until full payment is received. In case of overdue payment or insolvency, we may reclaim Goods still owned by us.
9. Conformity
We must deliver Goods that are satisfactory, fit for purpose, and as described. Services will be delivered with reasonable care and skill. We provide after-sales support as requested.
10. Duration, Termination & Suspension
Contracts last until Services are completed. Either party may terminate by written notice if the other breaches or becomes insolvent. Termination does not affect existing rights or liabilities.
11. Successors & Subcontractors
Either party may transfer Contract benefits to others but remains liable. We remain liable for subcontractors we appoint.
12. Circumstances Beyond Control
Neither party is liable for failures caused by circumstances beyond reasonable control. Obligations will resume as soon as feasible once such circumstances end.
13. Excluding Liability
We do not exclude liability for fraud or negligence causing death or injury. However, we are not liable for unforeseeable or business-related losses.
14. Governing Law & Complaints
The Contract is governed by the law of England and Wales. Disputes may be submitted to English, Scottish, or Northern Irish courts. We aim to resolve complaints within 5 business days.
15. Withdrawal
You may withdraw your Order before the Contract is made, without providing a reason or incurring liability.
